Terms of Service

By accessing or using any service, website, platform, or product offered by EthicsComputer ("Company", "we", "us", or "our"), you confirm that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms").

These Terms apply to all visitors, users, clients, and anyone who accesses or uses our services. By engaging our services through any channel — including our website, email, or verbal agreement — you accept these Terms in full.

EthicsComputer provides the following categories of services, each governed by these Terms in addition to any specific service agreements:

• Web Development: Custom website and application development including frontend, backend, and full-stack solutions.
• Digital Strategy: Business infrastructure consulting, SEO, and growth planning.
• Legal & Compliance: Business registration, tax filings, GST, trademark, and regulatory support.
• SaaS Platforms: Subscription-based software tools and dashboards.
• Content & Creative: Branding, content production, and social media strategy.

Where account registration is required to access our services, you agree to the following:

• You must provide accurate, current, and complete registration information.
• You are solely responsible for maintaining the confidentiality of your password.
• You must notify us immediately of any unauthorized use of your account at support@ethicscomputer.in.
• You may not share, transfer, or sell your account to any third party.
• We reserve the right to suspend or terminate accounts that violate these Terms.

You are fully responsible for all activities conducted under your account, whether authorized by you or not.

The Service and all associated original content, code, design, features, and functionality are the exclusive intellectual property of EthicsComputer and its licensors, protected under applicable Indian and international copyright, trademark, and IP laws.

• Client Work Product: Custom deliverables created for clients (websites, code, content) are transferred to the client upon full payment, as specified in the service agreement.
• Platform & Tools: Any SaaS tools, dashboards, or internal systems remain the sole property of EthicsComputer.
• Branding: The EthicsComputer name, logo, and brand identity may not be used without prior written consent.
• Feedback: Any suggestions or feedback you provide may be used by us without obligation or compensation.

As a user or client, you agree to:

• Provide accurate and complete information when engaging our services.
• Respond to communications and requests in a timely manner to avoid project delays.
• Pay all applicable fees on time as per agreed schedules.
• Not use our services for any unlawful, deceptive, or harmful purpose.
• Ensure that any materials you provide (content, images, data) do not infringe third-party rights.
• Maintain confidentiality of any proprietary information shared during our engagement.

You are strictly prohibited from:

• Reverse engineering, decompiling, or attempting to extract source code from our platforms.
• Using our services to distribute malware, spam, or fraudulent content.
• Attempting to gain unauthorized access to our systems, databases, or other accounts.
• Reselling or sublicensing our services without explicit written authorization.
• Engaging in any activity that disrupts the integrity or performance of our services.
• Using automated bots, scrapers, or crawlers on our platforms without written consent.
• Impersonating EthicsComputer, its employees, or other users.

All payments are subject to the following conditions:

• Currency: All prices are quoted in INR (Indian Rupee) unless otherwise stated.
• Payment Schedule: Milestone-based projects require payments per agreed schedule. SaaS plans are billed monthly or annually.
• Taxes: Applicable GST and other statutory taxes will be added to all invoices.
• Late Payment: Invoices unpaid beyond 15 days may incur a 2% monthly late fee. Services may be paused on non-payment.
• Disputes: Payment disputes must be raised within 7 days of invoice receipt.

To the maximum extent permitted by applicable law, EthicsComputer and its directors, employees, partners, agents, and licensors shall not be liable for:

• Any indirect, incidental, punitive, special, or consequential damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from unauthorized access or alterations to your data
• Any outcomes resulting from third-party services we integrate or recommend
• Service interruptions due to force majeure, government action, or infrastructure failures

Our total aggregate liability for any claim shall not exceed the amount you paid us in the 90 days preceding the claim.

You agree to defend, indemnify, and hold harmless EthicsComputer, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use or misuse of our services
• Your violation of any provision of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content or materials you provide to us that cause harm to a third party

Either party may terminate the service relationship under the following conditions:

• By You: You may terminate your account or cancel a service by providing written notice as per the terms of your service agreement.
• By Us — For Cause: We may immediately terminate or suspend access if you breach these Terms, fail to pay invoices, or engage in prohibited conduct.
• By Us — Without Cause: We may terminate with 30 days written notice for any reason not related to breach.
• Effect of Termination: Upon termination, all licenses granted are revoked, pending payments become immediately due, and confidentiality obligations survive.

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Uninterrupted, error-free, or secure operation of services
• Accuracy, completeness, or reliability of any content or information provided
• Results or outcomes of using our services for specific business objectives

We make no warranty that our services will meet your specific requirements or that defects will be corrected within a specific timeframe.

These Terms shall be governed and construed in accordance with the laws of Haryana, India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 of India, with the seat of arbitration in Sonipat, Haryana. The arbitration shall be conducted in English.

We reserve the right to modify or replace these Terms at any time. When changes are made:

• We will update the version number and effective date at the top of this page
• For material changes, we will provide at least 30 days notice via email or platform notification
• Your continued use of our services after changes take effect constitutes acceptance of the revised Terms
• Previous versions are archived and available on request
